These Terms of Service govern your access to and use of UzaDigit, a digital business-management platform operated by BK Networks Co. Ltd. By creating an Account, subscribing to a plan or using the Services, you agree to these Terms.
1. ABOUT THESE TERMS
These Terms form a legal agreement between you and BK Networks Co. Ltd, Registration No. 131127, located at Sinza Kijiweni, Dar es Salaam, United Republic of Tanzania, as the legal entity operating UzaDigit. If you use UzaDigit for a Business or organisation, you confirm that you have authority to accept these Terms on its behalf. If you do not agree to these Terms, you must not use the Services.
2. KEY DEFINITIONS
“UzaDigit”, “we”, “us” or “our” means BK Networks Co. Ltd as the legal entity operating the UzaDigit platform. “You” or “your” means the person using the Services and, where applicable, the Business that person represents. “Services” means our website, mobile applications, dashboards, software and related tools. “Account” means an account registered to use UzaDigit. “Content” means information, records or data you enter, upload or generate through the Services. “Subscription” means any free, paid, trial or other plan through which access is provided.
3. ELIGIBILITY AND ACCOUNTS
You must be at least 18 years old to create an individual Account unless another arrangement is expressly permitted by law. You must provide accurate information, keep your details reasonably up to date and ensure that you have authority to act for any Business you register.
You are responsible for protecting your login credentials, and for activity performed by users you have authorised. You must promptly remove access when a user is no longer authorised and notify us if you suspect unauthorised access.
4. BUSINESS ACCOUNTS AND USERS
A Business Account may allow owners, managers, employees, accountants, cashiers, agents, distributors or other authorised users to access different features. Account Administrators are responsible for assigning appropriate roles and permissions and for deciding who may view or manage Business information.
5. SUBSCRIPTIONS, FEES AND PAYMENTS
Some Services are free, and others require a paid Subscription. The applicable price, billing cycle, features and limits will be shown on the website, application, invoice, quotation or Subscription page. You agree to pay charges that you approve, together with applicable taxes or statutory charges.
Payments may be processed by banks, mobile-money providers, payment gateways or other independent payment providers. Their terms may also apply. If fees remain unpaid, we may restrict paid features, downgrade or suspend the Account after any applicable notice or grace period.
6. RENEWALS, CANCELLATIONS AND REFUNDS
Where automatic renewal is offered, it will apply only where authorised or clearly agreed. You may cancel future renewal using available Account controls or by contacting us. Fees already properly charged are generally non-refundable except where required by law, expressly stated in a plan, or agreed by UzaDigit.
7. ACCEPTABLE USE
You may use UzaDigit only for lawful and authorised Business purposes. You must not use the Services for fraud, hacking, unauthorised access, malware, unlawful financial activity, infringement of third-party rights, unlawful processing of Personal Data or any activity that damages, disrupts or compromises the Services.
Unless expressly authorised in writing, you must not reverse engineer, decompile, circumvent security controls, attempt to obtain source code, scrape the platform in a harmful manner, probe for vulnerabilities or resell or white-label the Services.
8. YOUR CONTENT AND DATA
You retain ownership of Content that belongs to you. By using UzaDigit, you give us a limited right to host, store, process, back up, display, analyse and transmit your Content only as reasonably necessary to provide, secure, support and improve the Services, subject to our Privacy Policy and applicable law.
You are responsible for the accuracy and legality of Content entered by you or your authorised users and for ensuring that you have an appropriate lawful basis to enter Personal Data relating to customers, employees, agents, suppliers or other persons.
9. PERSONAL DATA AND TANZANIA DATA-PROTECTION LAW
Personal Data processed through UzaDigit is handled in accordance with our Privacy Policy and applicable laws of the United Republic of Tanzania, including the Personal Data Protection Act, 2022 (Act No. 11 of 2022), now cited as the Personal Data Protection Act, Cap. 44, and the Personal Data Protection (Personal Data Collection and Processing) Regulations, 2023 (GN No. 449C of 2023).
Where UzaDigit acts as a data processor on behalf of a Business, the Business remains responsible for its obligations as data controller, including lawful collection, notices, consent where required, data-subject rights and appropriate instructions to UzaDigit. Additional data-processing terms may apply where necessary.
10. CONFIDENTIAL BUSINESS INFORMATION
We recognise that your Account may contain commercially sensitive information such as sales, revenue, inventory, expenses, prices, supplier information, customer records and Business reports. We use reasonable safeguards designed to protect such information from unauthorised access, disclosure or loss.
11. UZADIGIT INTELLECTUAL PROPERTY
UzaDigit and its licensors retain all rights in the platform, software, source code, interfaces, dashboards, designs, databases, trademarks, documentation, workflows and proprietary technology. Your use of the Services gives you only a limited, non-exclusive, non-transferable and revocable right to use UzaDigit for authorised Business purposes.
12. REPORTS, ANALYTICS AND BUSINESS INSIGHTS
UzaDigit may generate reports, forecasts, alerts, recommendations, financial ratios, stock indicators or other Business insights based on information available in the platform. Their accuracy depends partly on the completeness and quality of the data entered.
Unless expressly provided as a separately identified professional service, UzaDigit does not provide legal, tax, audit, investment or regulated financial advice. You remain responsible for your Business decisions, statutory filings, taxes and regulatory compliance.
13. CREDIT-READINESS AND FINANCING FEATURES
UzaDigit may offer optional credit-readiness or financing-related features. A score, indicator or recommendation generated by UzaDigit is not a loan approval or guarantee of financing. Banks, lenders, investors and other financing partners make their own independent decisions and may apply their own terms, KYC requirements, pricing and eligibility criteria.
Where you choose to submit information to a financing partner through UzaDigit, you authorise the information reasonably necessary for that request to be shared, subject to applicable data-protection law and our Privacy Policy.
14. THIRD-PARTY SERVICES
The Services may connect with payment providers, banks, messaging services, cloud providers, analytics tools or other third-party systems. Independent third parties operate under their own terms and privacy practices, and we cannot guarantee the availability or performance of systems we do not control.
15. SERVICE AVAILABILITY AND CHANGES
We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability. Maintenance, security incidents, telecommunications failures, power outages, cloud-provider failures or events outside our reasonable control may temporarily affect access.
We may update, improve, replace or discontinue features. Where a material change significantly affects a paid Service, we will take reasonable steps to communicate the change.
16. SUSPENSION AND TERMINATION
We may suspend or terminate access where you materially breach these Terms, fail to pay applicable fees, use the Services unlawfully, create a serious security risk, or where action is required by law or a competent authority. Where reasonably possible, we will provide notice of the reason.
You may stop using UzaDigit at any time. After termination, access may end, and Content may later be deleted, anonymised or retained only where necessary for legal, accounting, tax, security, audit or dispute-resolution purposes.
17. DISCLAIMERS AND LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not guarantee that every feature will always be available, that all reports will be error-free, that use of UzaDigit will increase profits or that a Business will qualify for financing.
To the maximum extent permitted by law, UzaDigit will not be liable for indirect, incidental, special, punitive or consequential loss, including loss of anticipated profits, goodwill, Business opportunity or expected savings. Nothing in these Terms excludes liability or rights that cannot lawfully be excluded or limited.
18. INDEMNITY
To the extent permitted by law, you agree to indemnify UzaDigit against reasonable third-party claims arising directly from unlawful Content you submit, fraudulent use of the Services, material breach of these Terms, infringement of third-party rights or unlawful handling of information through your Account. This does not apply to the extent a claim results from UzaDigit’s own unlawful conduct or material breach.
19. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the United Republic of Tanzania. We encourage the parties to first attempt to resolve disputes in good faith through support@uzadigit.co.tz. If a dispute cannot be resolved, it may be submitted to a competent court or other legally authorised body in Tanzania, subject to any mandatory rights or procedures that apply.
Where legally permitted, courts having appropriate jurisdiction in Dar es Salaam may hear disputes arising from these Terms. Nothing in these Terms prevents a person from exercising a mandatory right before the PDPC or another competent regulator, tribunal or authority.
20. ELECTRONIC ACCEPTANCE AND NOTICES
Where permitted by applicable law, agreements may be accepted electronically, notices may be delivered electronically and authenticated actions taken through an Account may constitute authorised instructions. We may send important notices through the application, website, email, SMS or another reasonable communication channel.
21. CHANGES TO THESE TERMS
We may update these Terms to reflect changes in the Services, pricing, security requirements, Business practices or applicable law. The latest version will show an updated “Last Updated” date. Where changes are material, we will provide reasonable notice where appropriate.
22. GENERAL LEGAL TERMS
If any part of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision immediately does not waive the right to enforce it later. A separately signed enterprise or commercial agreement will prevail over these general Terms only for matters it expressly addresses.
